Client Agreement
The general framework behind Purnavix client engagements — scope, deliverables, payment, IP, and responsibilities.
This Client Agreement page describes, in general terms, the framework Purnavix uses to structure a client engagement. It is informational: the binding commercial and delivery terms for your specific project are set out in your signed proposal, statement of work, or project agreement, which this page does not replace and which takes precedence over anything general stated here.
01 — Purpose of This Document
We publish this page so prospective and current clients can understand, before signing anything, how a typical Purnavix engagement is structured.
02 — Parties
An engagement is between Purnavix and the client named in the relevant signed proposal or agreement. Purnavix operates from Govind Vihar, Hasangarden Colony, Chinhat, Lucknow, Uttar Pradesh 226028, India.
03 — Scope of Services and Statement of Work
Each engagement is defined by a statement of work or proposal describing the services to be provided, such as web development, software development, design, consulting, or a combination of these, specific to that project.
04 — Deliverables
Deliverables — the specific outputs of the project, such as a website, application, design files, or documentation — are listed in the project's statement of work. Deliverables not listed there are not part of the engagement unless agreed as a change request.
05 — Client Responsibilities
You agree to provide timely feedback, approvals, content, access credentials, and any other information reasonably required for us to deliver the project, and to designate a point of contact authorised to make decisions on the project.
06 — Project Timeline
Timelines are estimated based on the agreed scope and your timely cooperation. Delays caused by late feedback, missing content, unavailable approvals, or scope changes may extend the timeline.
07 — Change Requests
Work requested outside the agreed scope is treated as a change request, which may affect the timeline, fees, or both. Change requests are agreed in writing before being carried out wherever practicable.
08 — Acceptance of Deliverables
Deliverables are generally reviewed against the agreed scope. Where a specific acceptance or review process (such as a fixed review period) is set out in your project agreement, that process governs acceptance.
09 — Payment
Payment structure, amounts, and schedule (such as advance, milestone, or completion-based payments) are set out in your specific proposal or agreement. We do not state a fixed rate or payment percentage on this general page, as these vary by project.
10 — Taxes
Fees may be exclusive of applicable taxes such as GST unless the proposal states otherwise; applicable tax is added to invoices in accordance with Indian tax law.
11 — Intellectual Property
Ownership and licensing of project materials is addressed in our Intellectual Property Policy and in your specific project agreement, which together govern IP for your engagement.
12 — Third-Party Services
Where a project relies on third-party software, hosting, domains, or services, those remain governed by their own providers' terms, as described in our Terms & Conditions.
13 — Confidentiality
Both parties agree to keep the other's non-public business and project information confidential, using it only for the purpose of the engagement, unless a more detailed confidentiality clause is included in your specific agreement.
14 — Data Protection and Security
Where a project involves Purnavix processing personal data on your instructions, our Data Processing Terms apply to that processing in addition to this page.
15 — Support and Maintenance
Ongoing support or maintenance after project delivery is only included where specifically agreed in your proposal or a separate maintenance arrangement; it is not automatically included in a one-off project engagement.
16 — Warranties
We aim to deliver work with reasonable skill and care in line with the agreed scope. Beyond what your specific agreement states, we do not offer additional warranties on this general page.
17 — Limitation of Liability
Our liability in connection with an engagement is limited as set out in our Terms & Conditions and, where applicable, your specific project agreement, to the extent permitted by law.
18 — Termination
Either party may terminate an engagement in accordance with the termination terms in the specific project agreement. Fees for work already carried out up to the point of termination remain payable.
19 — Dispute Resolution
We aim to resolve any disagreement directly and in good faith wherever possible. Where a dispute cannot be resolved directly, it is handled in accordance with the governing law and jurisdiction set out in our Terms & Conditions.
20 — Force Majeure
Neither party is responsible for delays or failures caused by events beyond its reasonable control, as described in our Terms & Conditions.
21 — Relationship to Signed Agreements
This page is a general, informational description of how Purnavix structures client engagements. Your specific signed proposal, statement of work, or agreement is the binding document for your project and takes precedence over this page wherever they differ.
